A Types of Credits
1. Subscription Credits
Customers who subscribe to a Gym Spotter subscription plan ("Subscription Plan") receive a monthly allocation of credits as part of their subscription ("Subscription Credits"). The quantity of Subscription Credits included varies by plan tier and is specified on the Pricing Page, as may be updated from time to time. Subscription Credits are allocated at the beginning of each billing cycle.
2. Purchased Credits
Customers may purchase additional credits in predefined packages ("Purchased Credits" or "Credit Packs") to supplement their Subscription Credits or to use independently. Customer's order for Purchased Credits constitutes an offer by Customer to purchase those credits. Gym Spotter will process the order upon successful payment authorization (the "Confirmation"). Credit Packs are available in various denominations as specified on the Pricing Page.
3. Promotional Credits
Gym Spotter may, in its sole discretion, offer Customer free credits as part of a promotion, referral program, sign-up bonus, or other marketing initiative ("Promotional Credits"). Promotional Credits may be subject to additional terms and conditions specified at the time of issuance.
4. Annual Bonus Credits
Customers who subscribe to annual billing may receive bonus credits as part of their annual subscription ("Annual Bonus Credits"). The quantity of Annual Bonus Credits is specified on the Pricing Page and is issued as a one-time allocation at the start of the annual subscription period.
B Credit Usage
1. How Credits Are Consumed
Credits are consumed when Customer uses Gym Spotter's AI-powered Services. Different features and actions consume different amounts of credits based on computational resources and complexity. Credit consumption rates for various features are displayed on the Pricing Page and within the application interface.
Examples of credit-consuming actions include, but are not limited to:
- Chat interactions with AI assistants and specialized bots
- Parts lookup and equipment identification
- Document processing including manual and schematic analysis
- Image generation and visual asset creation
- Email drafting and communication assistance
- Report generation and analytics
- Workflow automation and orchestration tasks
- Voice transcription and audio processing
- Custom bot training and model fine-tuning
Note: Specific credit costs for each feature are subject to change. Current rates are always available on the Pricing Page. Gym Spotter will provide reasonable notice of material changes to credit consumption rates.
2. Credit Consumption Order
When Customer uses Services, credits are consumed in the following order:
- Promotional Credits (expiring soonest first)
- Subscription Credits (current billing cycle)
- Annual Bonus Credits
- Purchased Credits (oldest first)
3. Credit Balance
Customer can view their current credit balance, usage history, and consumption details at any time through the Gym Spotter dashboard or by accessing the Account Settings within the application.
C General Terms
1. Non-Refundable
All credits issued by Gym Spotter, including Subscription Credits, Purchased Credits, Promotional Credits, Annual Bonus Credits, and any other credits Gym Spotter offers (collectively, "Credits"), are non-refundable. Credit balances cannot be converted to cash or any other form of payment, transferred to third parties, or refunded under any circumstances. All sales are final.
2. No Transfer
Customer may not transfer, sell, gift, or otherwise convey Credits to any other person or entity. Credits may only be used by the holder of the Gym Spotter account to which the Credits are associated. Team accounts with multiple seats share a common credit pool as defined by the applicable Subscription Plan.
3. No Cash Value
Credits are not legal tender, currency, or any form of stored value. Credits have no cash value and cannot be redeemed for cash. Credits represent a prepaid right to use Gym Spotter Services in accordance with these Credit Terms.
4. Account Closure
Credits will automatically expire and be forfeited if Customer closes their Gym Spotter account. Expired or forfeited Credits cannot be recovered, reinstated, or refunded.
D Credit Expiration
1. Purchased Credits
Purchased Credits (Credit Packs) do not expire and remain in Customer's account until used, provided Customer maintains an active Gym Spotter account in good standing.
2. Subscription Credits
Subscription Credits expire at the end of each billing cycle (monthly or annually, as applicable). Unused Subscription Credits do not roll over to subsequent billing periods. At the start of each new billing cycle, Customer's Subscription Credit balance is reset to the allocation specified by their Subscription Plan.
3. Promotional Credits
Promotional Credits expire at the time indicated when issued. If no expiration date is specified, Promotional Credits expire ninety (90) days from the date of issuance. Promotional Credits may have additional restrictions or shorter expiration periods as specified in the applicable promotion terms.
4. Annual Bonus Credits
Annual Bonus Credits expire at the end of the annual subscription period in which they were issued. Annual Bonus Credits do not roll over if Customer renews their annual subscription.
Important: Gym Spotter is not obligated to provide notice prior to Credit expiration. Customer is responsible for monitoring their Credit balances and expiration dates through the account dashboard.
E Subscription Plans
1. Plan Tiers
Gym Spotter offers multiple Subscription Plan tiers, each providing different monthly credit allocations and feature access. Current plan options, pricing, and credit allocations are available on the Pricing Page.
2. Auto-Renewal
Subscription Plans automatically renew at the end of each billing period unless cancelled by Customer prior to the renewal date. Upon renewal, Customer will be charged the then-current subscription fee and will receive a new allocation of Subscription Credits.
3. Plan Changes
Customer may upgrade or downgrade their Subscription Plan at any time through the account settings. Plan changes take effect at the start of the next billing cycle. Unused Subscription Credits from the previous plan do not transfer to the new plan.
4. Credit Pack Discounts
Certain Subscription Plan tiers may entitle Customer to discounted pricing on Purchased Credits (Credit Packs). Applicable discounts, if any, are specified on the Pricing Page and apply only while Customer maintains an active subscription at the qualifying tier.
5. Auto-Reload (Balance Maintenance)
Customer may have the option to automatically purchase additional Credits when their balance falls below a specified threshold ("Auto-Reload"). If Customer enables Auto-Reload, Customer authorizes Gym Spotter to charge the designated payment method for the applicable Credit Pack amount. Auto-Reload settings can be configured or disabled in the Account Settings.
F Modifications
1. Changes to Credit Terms
Gym Spotter reserves the right to modify these Credit Terms at any time. Material changes will be communicated via email to the address associated with Customer's account or through a notice in the Gym Spotter application. Continued use of the Services after such modifications constitutes acceptance of the updated Credit Terms.
2. Changes to Pricing
Credit pricing, including Credit Pack prices and credit consumption rates, may be modified at any time. Gym Spotter will endeavor to provide reasonable advance notice of pricing changes. Price changes do not affect Credits already purchased or allocated prior to the effective date of the change.
3. Service Availability
Gym Spotter does not guarantee uninterrupted availability of any particular feature or Service. Features may be added, modified, or discontinued. In the event a feature is discontinued, Gym Spotter will not refund Credits previously used for that feature, but will make reasonable efforts to provide alternative functionality or value.
